Venture Capital Funding Data License Agreement
Effective Date: April 6, 2024
This License Agreement (the “Agreement”) is entered into by and between Network Package, a business operating under the laws of North Carolina, United States (“Licensor”), and the purchaser (“Licensee”) of the Venture Capital Funding Data (the “Data”).
Grant of License: The Licensor grants the Licensee a non-exclusive, non-transferable, perpetual license to use the Data solely for the Licensee’s personal or business purposes. This includes internal analysis, decision-making, and business development activities.
Restrictions: The Licensee is expressly prohibited from reproducing, redistributing, publicly displaying, publicly performing, publishing, or making the Data available to any third parties. The Licensee shall not use the Data for resale, commercial distribution, data rental, or as a basis for creating financial instruments, reports, or indices. Disclosure or sharing of the Data with third parties without the Licensor’s express written consent is strictly forbidden.
Intellectual Property: All rights, title, and interest in the Data, including all related intellectual property rights, remain with the Licensor. The Data contains confidential and proprietary information belonging to the Licensor.
Perpetual License: The License granted under this Agreement is perpetual. The Licensee is authorized to use the Data indefinitely within the bounds of this Agreement.
Governing Law: This Agreement is governed by the laws of the United States and the State of North Carolina, without regard to conflict of law principles.
Agreement to Terms: By purchasing the Data, the Licensee agrees to the terms and conditions outlined in this Agreement. The act of purchase is deemed as acceptance of this Agreement, and the Licensee acknowledges their understanding and compliance with its terms.
This Agreement sets forth the entire understanding between Licensor and Licensee regarding the use of the Data. The terms of this Agreement may only be amended or waived in a written document signed by both parties.
Jurisdiction: Any disputes arising under this Agreement shall be adjudicated in the state and federal courts located in North Carolina, and both parties consent to personal jurisdiction therein.
By purchasing products from Network Package, the buyer is automatically agreeing to the terms of this license.
